1. Scope
These terms apply to goods supplied by Sara Traders Limited to customers acting wholly or mainly for business purposes. They do not apply to consumer purchases. A customer placing an order confirms its business status and the authority of the person acting for it.
2. Quotations and orders
A website enquiry is not an order. Quotations remain subject to availability and the validity period stated in the quotation. An order becomes binding only when we accept it in writing. Our written order confirmation, these terms and any agreed specification form the contract, with the order confirmation taking priority if there is a conflict.
3. Products and imported stock
Some goods are sourced or imported to meet a requirement. Availability, model revisions, packaging and manufacturer specifications can change. We may propose an equivalent only for the customer’s approval. Lead times are estimates unless expressly guaranteed in writing.
4. Prices, VAT and payment
Prices are in pounds sterling and exclude VAT, delivery, insurance, customs charges and similar costs unless the quotation states otherwise. Payment terms, deposits and credit arrangements are those stated in our quotation or invoice. We may suspend supply where an amount is overdue.
5. Delivery, risk and title
Delivery arrangements and any applicable trade term or Incoterm will be stated in writing. Risk passes at the point stated in the order confirmation or, if none is stated, on delivery to the agreed destination. Title does not pass until we receive all sums due for the goods. Until then, the customer must keep the goods identifiable, protected and insured.
6. Inspection, shortages and defects
The customer must inspect goods promptly and notify us in writing of visible damage, shortages, incorrect items or suspected defects, providing order details and evidence. Goods must not be returned without our return authorisation and instructions.
7. Warranty
Applicable warranty coverage will be confirmed in the quotation, order confirmation or product documentation. Remedies may include diagnosis, repair, replacement, manufacturer service or credit at our reasonable option, subject to the agreed warranty. Coverage does not extend to misuse, accidental damage, unauthorised modification, incompatible installation or normal wear.
8. Customer responsibilities
The customer is responsible for checking suitability, compatibility and any sector-specific requirements before ordering, unless we expressly agree in writing to provide that assessment. Customers must use, store, resell and dispose of products lawfully and follow supplied safety information.
9. Overseas supply
Orders outside the UK are accepted case-by-case. The written quotation will identify delivery responsibilities. Unless expressly agreed otherwise, the overseas customer is responsible for import clearance, local duties, taxes, permits and local market requirements.
10. Liability and events beyond control
Nothing excludes liability that cannot lawfully be excluded. Subject to that, our aggregate liability is limited to the price paid for the affected goods, and we are not liable for indirect loss, loss of profit, revenue, data, opportunity or goodwill. We are not responsible for delay or failure caused by events beyond our reasonable control, including manufacturer, freight, customs or supply-chain disruption.
11. General
The customer may not transfer a contract without our written consent. If a provision is unenforceable, the remainder continues. No third party has rights under the contract unless expressly stated. English law applies and the courts of England and Wales have exclusive jurisdiction.
